Chapter 3 - The "For Cause" Guillotine

"Our shareholder agreement is a very specific document," I said, finally breaking my silence. My voice was eerily calm, echoing in the quiet room. "I helped draft it twenty years ago in a tiny rented office when we couldn't even afford proper heating. Clause 14, Section B: If an executive owner is found guilty of gross financial misconduct, fraud, or intentional sabotage of the company’s assets, the remaining ownership can vote for immediate expulsion."

Richard nodded in agreement. "And upon expulsion 'for cause,' the guilty party is contractually obligated to forfeit their shares back to the company treasury at a steeply discounted, predetermined liquidation valuation. Pennies on the dollar."

Daniel’s face contorted in sheer, unadulterated panic. He rushed toward my side of the table, slamming his hands down on the wood. "Claire, you can't do this! We built this together! I am Carter Vale Interiors! You take my shares, you take everything!"

"You tried to take my life's work for a woman who just poured a glass of Merlot on me for a cheap laugh," I replied, not breaking eye contact. "You spent months trying to convince the board, our employees, and our friends that I was crazy. You wanted me out so badly that you laid the trap yourself. I just flipped the trigger."

"The board held an emergency vote an hour before this gala began," Richard announced, handing Daniel a formal, legally binding document. "You are terminated, effective immediately. Your forty-two percent equity is being forcibly reclaimed by the company at the penalty valuation. You will walk away with less than fifty thousand dollars. The rest is seized to cover the embezzled funds and the resulting legal penalties."

"You can't prove I knew about the offshore accounts!" Daniel shouted, desperate, sweating through his expensive tuxedo. "Zachary Lawson acted alone!"

"Zachary Lawson is currently sitting in an FBI interrogation room in Raleigh," our corporate litigator interrupted. "He was arrested at his home three hours ago for wire fraud. It took him exactly twelve minutes to flip on you and his sister to secure a plea deal. He handed over every email, every text message, and every wire confirmation."

Daniel collapsed into a chair, burying his face in his hands. The arrogant, untouchable husband who had whispered in my ear not to ruin his night was now sobbing in a soundproof room, entirely broken.

"Sign the forfeiture documents, Daniel," I said smoothly. "If you sign them tonight, the board will allow the federal authorities to handle the embezzlement without adding a massive civil lawsuit to your crushing debt. If you refuse, I will personally spend every dime I have burying you so deep in litigation you won't see the sun for a decade."

His hands were shaking so violently he could barely hold the pen, but he signed. He signed away his empire, his legacy, and his future in less than thirty seconds.
